Terms of Service
Lumivio Soft LLC · Last updated November 1, 2025
1. Services
Lumivio Soft provides custom software development, AI integration, automation, cloud infrastructure, and related consulting as described in a signed statement of work (SOW). Where these terms and an SOW conflict, the SOW controls.
2. Engagement model & fees
Every project begins with a fixed-scope Discover phase. Development is delivered in two-week sprints and invoiced monthly or by milestone as set out in the SOW. Late payments accrue 1.5% per month. Cloud and third-party costs are billed directly to the client's accounts.
3. Client responsibilities
- Provide timely access to systems, data, stakeholders, and decisions needed to deliver the work.
- Review sprint deliverables within 5 business days.
- Hold valid licences for third-party software and data you ask us to integrate.
4. Intellectual property
On payment, the client owns all deliverables — source code, infrastructure definitions, documentation, and data — with no licensing lock-in. Lumivio Soft retains ownership of pre-existing tools, libraries, and know-how, licensed to the client perpetually for use in the deliverables.
5. Warranty & support
Deliverables are warranted to perform materially as specified for 30 days after acceptance (hypercare), during which defects are fixed at no charge. Ongoing support is available under a separate support agreement.
6. AI systems
AI features are probabilistic. We design for human review where outputs affect customers, finances, or compliance, and we document known limitations. Clients are responsible for the lawful use of AI features in their business.
7. Confidentiality & liability
Each party protects the other's confidential information. Lumivio Soft's aggregate liability is capped at fees paid in the six months preceding a claim. Neither party is liable for indirect or consequential damages.
8. Termination & governing law
Either party may terminate with 30 days' written notice; work completed to date is invoiced and transferred. These terms are governed by the laws of the State of Texas, with venue in Travis County.
